GENERAL TERMS AND CONDITIONS OF ORGENTIS CHEMICALS GMBH

§ 1 – Scope

These general terms and conditions apply to all activities performed by Orgentis Chemicals GmbH (Orgentis Chemicals) in the course of commercial transactions with businessmen and companies within the meaning of § 14 German BGB.

§ 2 – Conclusion of contract

Our offers are non-binding unless specifically confirmed as binding.

§ 3 – Reservation of proprietary rights

Until complete payment of all invoices the delivered goods remain our property.

§ 4 – Prices

All prices are in Euro (€), exclusive of VAT and/or taxes, postal charges and packing.

§ 5 – Limitation of liability

Orgenis Chemicals is liable for any direct or indirect damage including a loss of profit and vainly expenses only if caused with intent or through gross negligence. This does not apply in case of the violation of essential duties, if this endangers the purpose of the contract. Upon condition that the damage was not caused with intent, Orgentis Chemicals is only liable for forseeable damages.

The liability for damage to persons and the liability under German law for product liability will remain unaffected.

§ 6 – Closing provisions

The legislation of the Federal Republic of Germany exclusively applies to all legal relationships. Magdeburg, Germany, is the sole place of jurisdiction for all disputes.
